Re Convertible Bonds
Lukinter Finance B.V. U.S.$350,000,000 3.5 per cent. Convertible Bonds due 2007 convertible into Global Depositary Receipts representing ordinary shares of, and with the guarantee of, OAO LUKOIL (the "Bonds").
OAO LUKOIL announces that upon exercise of Conversion Rights (as defined in the Terms and Conditions of the Bonds) by Bondholders (as defined in the Terms and Conditions of the Bonds) in accordance with Clause 6 of the Terms and Conditions of the Bonds, 239,877 Bonds in an aggregate principal amount of U.S.$239,877,000 have now been converted into depositary receipts representing ordinary shares of OAO LUKOIL.
